Infinity Capital sells majority stake in Argus to Bulgarian trader

Infinity Capital Investments has reached an agreement to sell all its shares in sunflower oils producer Argus Constanţa to the Bulgarian agri trader Buildcom.

The deal also includes the shares Argus holds in Comcereal Tulcea, representing 95.35% of its share capital. 

The finalisation of the transaction is subject to specific conditions, including obtaining regulatory approvals from Romanian authorities.

The sale price per share will be determined by adjusting an agreed enterprise value of €14.5 million. 

This value will be adjusted for the net debt and working capital of Argus and Comcereal as of the end of the month before the conditions are met. 

Additionally, Argus's business costs from July 1 to August 31 will be deducted, up to a maximum of €400,000 per month. 

Shares on Infinity Capital were down around 1% to RON 2.92 on Tuesday lunch trading on the BVB. Argus shares were up 4% to RON 1.78.
