Arobs makes US acquisition

Arobs Transilvania Software has completed the acquisition of Codingscape, a US-based company, in a deal exceeding $12 million.

The acquisition was facilitated through two newly established US entities: Arobs North America Inc. and Codingscape by Arobs LLC. 

Arobs Transilvania Software transferred approximately $12 million to Arobs North America Inc. as equity and loan funding. This capital was then injected into Codingscape by Arobs LLC, which subsequently acquired a 70% equity stake in Codingscape LLC, the US-based target company. 

The remaining 30% of Codingscape LLC was contributed by its four individual owners to Codingscape by Arobs LLC in exchange for a 30% equity stake in the latter, resulting in Codingscape by Arobs LLC owning 100% of Codingscape LLC.

Following the restructuring, Arobs North America Inc., a wholly-owned subsidiary of Arobs, now holds a 70% interest in Codingscape by Arobs LLC, with the original Codingscape sellers retaining the remaining 30%.

The transaction was announced by the company on the Bucharest Stock Exchange (BVB).
