Romanian regulator clears Carrefour sale to Pavăl Holding

Business Forum
The Competition Council has authorised the transaction through which Pavăl Holding intends to acquire the Carrefour group in Romania.

Although the activities of the two groups involved do not overlap, the competition authority analysed the possible effects of the operation both on the market for purchasing everyday consumer goods, mainly food, at national level, and on the retail market for these products to final consumers. The analysis covered the relationship between retailers and producers or distributors, in which retailers act as buyers, as well as the relationship between retailers and final consumers.

Following the analysis, the Competition Council found that the notified transaction does not raise significant obstacles to effective competition on the Romanian market or a significant part of it, and that there are no serious doubts about its compatibility with a normal competitive environment.

Pavăl Holding, owned by Dragoș and Adrian Pavăl, is present in Romania through companies active in several economic sectors, the best known being the Dedeman chain of DIY stores. The group is also involved in the retail of pharmaceutical products, consumer goods, the manufacture of construction products, vehicle maintenance and repair, and real estate development and rental activities.

The Carrefour group operates retail stores in Romania in the form of hypermarkets (Carrefour), supermarkets (Carrefour Market), convenience stores (Carrefour Express) and discount stores (Supeco).

The transaction is based on an enterprise value of €823 million.
