Romgaz nears deal to acquire Azomureș fertilizer plant

Romanian state-owned gas company Romgaz has reached an agreement in principle with fertilizer producer Azomureș regarding the acquisition of its operational activity as a transfer of a going concern.

The agreement reflects the commercial understanding between the parties on the main elements of the transaction, including structure, price and commercial mechanism to be implemented during contract signing and completion of the transaction.

The parties will continue with required proceedings to complete negotiations and sign a transaction contract based on the terms agreed in principle. Romgaz estimates that completion of negotiations and obtaining approval from its board of directors for signing the transaction contract will occur by the end of May 2026, according to a notification sent to the BVB.

Azomureș has largely halted production in more than three years due to high gas prices.
